Upon achieving scale, we anticipate that Roofstock One will be evergreen, meaning we can hold your investment and continue growing your assets for as long as you would like. While we intend to establish a secondary market for trading Roofstock One shares, an investment in Roofstock One currently has limited liquidity. As a result, we require that investors in Roofstock One have an investment horizon of at least 5 years.

Investors purchase shares of Tracking and Common Stock in Roofstock One to construct a customized portfolio that best suits their needs and/or investment goals. Once the purchase is completed, an investor would be eligible to receive pro-rata quarterly distribution, subject to board approval, net of all the expenses based on economics of the underlying properties, a portion of which may be tied to available depreciation.

The Asset Manager, through one or more property managers, takes care of all the day-to-day management of the properties, providing a completely passive experience to investors.

Direct ownership is appropriate for those who prefer direct control and active management of the property as a landlord, whereas Roofstock One is intended to be a passive investment. Roofstock One provides an efficient alternative to direct investing (avoiding the need to be on title, obtain mortgages, supervise rehabilitation activities, finding property managers, and handling ownership and tenancy issues). Investors can instead focus on assembling targeted portfolios with allocations across markets, focusing on specific investment goals, while enjoying passive income with potential long-term growth from home price appreciation.

Roofstock One is currently available only to accredited investors as defined in Rule 501 of Regulation D under the Securities Act of 1933, as amended, who meet certain additional requirements. If you decide to invest in Roofstock One shares and initiate the investment process, you will be asked to verify your accredited investor status. Your Roofstock One subscription will not be confirmed until your accredited investor status is verified.

The standard initial investment minimum is $5,000. After the initial investment, you can purchase as little $100 at a time. There is no limit to the number of shares you can purchase; however, we do monitor that every investor does not exceed the maximum allowable number of shares purchased for a single tracking stock.
